These Terms of Service ("Terms") are a binding agreement between you and [[COMPANY LEGAL NAME]], a Delaware company ("alaru.me", "we", "us", or "our"), governing your access to and use of the alaru.me website, applications, and services (the "Service"). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to these Terms, our Acceptable Use Policy, and our Privacy Policy, each incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility & acceptance
You must be at least 18 years old and able to form a legally binding contract. When you first use the Service you are asked to affirm that you accept these Terms and meet the age requirement; your acceptance and continued use constitute agreement to the then-current version of these Terms.
2. The Service is a venue only
alaru.me is an online marketplace that connects people who need everyday tasks done ("Employers") with independent people who perform them ("Contractors" or "Helpers"). We provide the platform, an AI assistant that helps clarify tasks and suggest prices, escrow tooling, and payment facilitation. We are a venue only. We are not the employer of any Contractor, do not perform tasks, do not supervise, direct, or control the manner or means by which tasks are performed, and are not a party to any agreement between an Employer and a Contractor. No agency, partnership, joint venture, franchise, or employment relationship is created between you and us by these Terms or your use of the Service.
3. Accounts
You sign in through a third-party provider (Google or Facebook). You are responsible for all activity under your account and for keeping your credentials and provider account secure. You must provide accurate information and keep it current. One person may hold one account and may act as both an Employer and a Contractor. You are responsible for notifying us of any unauthorized use.
4. Independent-contractor status
Contractors are independent contractors of the Employer for whom they perform a task — not employees, agents, or contractors of alaru.me. Contractors control how, when, and whether they perform tasks and use their own equipment and methods. Nothing on the Service constitutes wages, benefits, workers' compensation, or tax withholding by us. Each user is solely responsible for their own taxes, licenses, permits, registrations, and insurance relating to tasks they request or perform.
5. No background checks; no endorsement
We do not conduct background, criminal, identity, credential, or reference checks on users unless we expressly state otherwise for a specific program. Any "vetted", "verified", rating, badge, or similar label means only that an administrator performed a limited internal review of a profile; it is not a background, identity, or qualification check and is not a guarantee, warranty, or endorsement of any user, task, or outcome. You are responsible for evaluating the suitability, safety, and trustworthiness of any user, task, or premises before you transact or meet in person.
6. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. Among other things, you must not use the Service for anything illegal, unsafe, harassing, discriminatory, deceptive, or infringing; request or perform regulated services without required licenses; circumvent fees or take transactions off-platform to avoid them; scrape, reverse-engineer, or interfere with the Service; or misuse another user's information.
7. Posting & performing tasks
- Employers must describe tasks accurately and lawfully and ensure the agreed price is funded before a task is assigned.
- Tasks are offered to Contractors, who may accept or decline within a response window; declines or expiries may affect matching priority.
- Contractors must perform accepted tasks competently, lawfully, safely, and as specified, and must not subcontract without the Employer's consent.
- Some tasks (including recurring engagements and multi-worker "crew" jobs) generate individual sub-tasks that are funded and paid per occurrence or per day.
- If an Employer does not confirm completion within a stated grace window for eligible tasks, the task may be automatically confirmed and released.
8. Payments, escrow, fees & taxes
- Your alaru.me wallet reflects balances you are entitled to on the Service, denominated in USDT (crypto) and/or USD (card). When a task is funded, the amount is held in escrow until the task is completed and confirmed, cancelled, or resolved through a dispute.
- We charge a platform fee (currently 10%, minimum US$5), retained from the amount released to the Contractor. Fees may change on notice.
- Payment processing is provided by third parties (including Stripe for cards and blockchain networks for crypto). We are not a bank, money transmitter, exchange, broker, fiduciary, or legal escrow agent; balances are not deposits and are not FDIC- or otherwise insured, earn no interest, and do not constitute securities or stored value.
- Contractor earnings are credited to the Contractor's in-app balance and withdrawn separately; withdrawals and payouts are processed on a schedule and are not guaranteed to be instantaneous.
- Refunds and chargebacks: refunds occur only through the dispute process below. Initiating a card chargeback instead of using the dispute process, or otherwise reversing a legitimate charge, is a breach of these Terms and may result in suspension and recovery of amounts owed.
- Taxes: you are solely responsible for determining and paying your own taxes on amounts you earn or spend. We may request tax information and issue tax forms where required by law.
9. Crypto risk disclosure
If you use crypto (e.g., USDT on the Tron network), you acknowledge and accept that: digital-asset values can be volatile; blockchain transactions are irreversible and cannot be recovered if sent to a wrong or incompatible address; network/gas fees apply; on-chain addresses and transactions are public and permanent; and the legal and regulatory treatment of digital assets is evolving and may change. You are responsible for the accuracy of any address you provide and for the security of any wallet or keys you control. We are not liable for losses arising from these characteristics.
10. Ratings, reviews & disputes
When a Contractor marks a task complete, the Employer confirms to release payment (or it may auto-release per Section 7). Both parties may leave ratings and reviews, which must be honest and lawful; we may remove content that violates these Terms. If there is a disagreement, either party may open a dispute, which pauses release while an administrator reviews it. Our AI may provide a non-binding suggestion, but a human administrator decides the outcome by releasing to the Contractor or refunding the Employer. Our decision on a dispute is final as between the users with respect to the escrowed funds; it does not limit any rights you may have against the other user outside the Service.
11. Content & intellectual property
You retain ownership of content you submit (task text, messages, photos, reviews). You grant alaru.me a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content as needed to operate, secure, and improve the Service and to enforce these Terms. You represent that you have the rights to the content you submit and that it does not infringe others' rights. The Service, including its software, design, and trademarks, is owned by us or our licensors; no rights are granted except as expressly stated.
Copyright (DMCA): if you believe content infringes your copyright, send a notice with the information required by 17 U.S.C. §512 to our designated agent at [[DMCA AGENT NAME / EMAIL]]. We may remove infringing content and terminate repeat infringers.
12. Third-party services
The Service integrates third parties (for example Google/Facebook sign-in, Stripe, blockchain networks, email and mapping providers, and our AI provider). Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for them.
13. Assumption of risk & release
Tasks may involve in-person interactions, travel, entering premises, and physical activity. You participate at your own risk. We do not control, and are not responsible for, the acts or omissions, safety, conduct, quality of work, or legality of any user. To the fullest extent permitted by law, you release alaru.me and its officers, employees, and agents from all claims, demands, and damages arising out of or connected with any task, interaction, or dispute between you and another user.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, that matching will succeed, or that any task will be completed, lawful, safe, or of any particular quality, or that AI-generated specifications or price suggestions are accurate.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, alaru.me AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR FUNDS, OR FOR ANY DISPUTE OR INTERACTION BETWEEN USERS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID US IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) US$100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You will indemnify, defend, and hold harmless alaru.me and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your tasks, your conduct, your content, your use of the Service, your violation of these Terms or law, or your infringement of any third-party right.
17. Suspension & termination
We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms, suspected fraud or risk, or as required by law. You may stop using the Service and delete your account at any time (see Data Deletion). Provisions that by their nature should survive (including Sections 8–16 and 18–19) survive termination.
18. Binding arbitration & class-action waiver
Please read this Section carefully — it affects your legal rights. You and alaru.me agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration, and not in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual- property or unauthorized-access claims.
- Arbitration will be administered by the American Arbitration Association (AAA) or JAMS under their consumer rules, before a single arbitrator, seated in [[ARBITRATION VENUE — county, Delaware]] or your county of residence, or by videoconference.
- Class-action waiver. You and alaru.me agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding.
- Jury-trial waiver. You and alaru.me waive any right to a jury trial.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing admin@alaru.me with your name and account email and the statement "I opt out of arbitration" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
- If the class-action waiver is found unenforceable as to a claim, that claim will proceed in court, but the rest of this Section still applies.
19. Governing law & venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of- laws rules. Subject to Section 18, the state and federal courts located in Delaware (or [[ARBITRATION VENUE — county, Delaware]]) have exclusive jurisdiction over any matter not subject to arbitration.
20. Changes to these Terms
We may update these Terms. For material changes we will provide notice (for example, by updating the version and "Last updated" date and, where appropriate, prompting you to re-accept). Changes are effective when posted; your continued use after the effective date means you accept the updated Terms.
21. General
These Terms, the Acceptable Use Policy, and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). Notices to you may be given in-app or by email; notices to us go to the contact below.
